Terms & Conditions

These Terms and Conditions govern access to the Simko Web website, enquiries, quotations, payments, projects, and use of our digital marketing and website development services.

Important: By using simkoweb.com, approving a quotation, paying an invoice, or instructing Simko Web to begin work, you agree to these Terms and Conditions together with the applicable proposal, invoice, statement of work, and our Privacy Policy.

Acceptance of These Terms

These Terms and Conditions (“Terms”) form a binding agreement between Simko Web (“Simko Web”, “we”, “us”, or “our”) and the person or entity accessing our website or purchasing our services (“you”, “your”, or “Client”).

If you are acting for a business or another person, you confirm that you have authority to accept these Terms on their behalf. If you do not agree with these Terms, do not use our website or instruct us to begin work.

Our Services

Simko Web may provide website design and development, ecommerce development, search engine optimisation, paid advertising, social media management, graphic design, content services, analytics, maintenance, hosting assistance, consultation, and other agreed digital services.

The exact deliverables, exclusions, fees, and schedule for a project will be stated in the relevant proposal, quotation, invoice, email confirmation, or statement of work.

In case of conflict, a signed or expressly approved project-specific agreement will take priority over these general Terms for that project.

Proposals, Quotations and Scope

  • A quotation is valid only for the period stated in it. If no validity period is stated, it may be revised before acceptance.
  • Work begins after written approval, receipt of the required advance, and receipt of essential project information.
  • Only deliverables expressly listed in the approved scope are included.
  • Verbal discussions, examples, references, or assumptions do not expand the scope unless confirmed in writing.
  • Additional features, pages, campaigns, integrations, content, revisions, or support may be quoted separately.

Client Responsibilities

The Client is responsible for:

  • Providing complete, accurate, lawful, and timely information, content, approvals, and account access.
  • Ensuring that supplied logos, images, videos, fonts, trademarks, claims, databases, and written content may legally be used.
  • Reviewing drafts, proofs, advertisements, website pages, and deliverables before approval or publication.
  • Maintaining secure backups and protecting passwords, administrator accounts, and access credentials.
  • Following applicable advertising, consumer protection, privacy, intellectual property, industry, and platform rules.
  • Making payments according to the agreed schedule.

Simko Web is not responsible for delays, errors, rejection, suspension, or losses caused by incomplete information, late approvals, inaccurate claims, unlawful content, or Client-controlled accounts.

Fees, Taxes and Payments

Advance Payment

A project may require an advance or setup payment before work begins. The applicable amount will be stated in the quotation or invoice.

Recurring Services

Monthly or recurring services are billed according to the agreed cycle and may require payment before the relevant service period begins.

Taxes and External Costs

Applicable taxes, advertising spend, hosting, domains, plugins, stock media, gateway fees, and third-party charges are additional unless expressly included.

Late Payment

Work, access, support, publication, or delivery may be paused while an invoice remains overdue.

The Client must review invoices promptly and raise any genuine billing dispute in writing within seven days of receipt. Undisputed amounts remain payable by the due date.

Project Timelines and Delays

Any delivery date is an estimate unless expressly confirmed in writing as a fixed deadline. Timelines depend on timely payment, content, approvals, access, feedback, and third-party cooperation.

Client delays may automatically extend the schedule. If a project remains inactive because required Client input is not received, Simko Web may pause the project, reschedule resources, charge a restart fee where reasonable, or close the project after written notice.

Revisions and Change Requests

The number and type of revisions included in a project will be stated in the proposal. A revision means a reasonable adjustment to an existing approved direction; it does not mean a completely new concept, strategy, page structure, feature, campaign, or deliverable.

  • Feedback should be clear, consolidated, and supplied by the authorised decision-maker.
  • Requests outside the approved scope may require an additional quotation.
  • Changes requested after approval or completion may be charged separately.
  • Work caused by incorrect Client instructions or supplied content is not treated as a free correction.

Third-Party Services and Platforms

Projects may depend on services operated by third parties, including WordPress, hosting companies, domain registrars, payment gateways, Google, Meta, Shopify, plugins, APIs, email platforms, analytics tools, stock media providers, and social networks.

Their availability, pricing, policies, algorithms, approvals, account decisions, data practices, and technical changes are outside our control. The Client agrees to comply with their terms and pay applicable charges.

Simko Web is not liable for third-party downtime, policy changes, account restrictions, rejected advertisements, hacked external accounts, lost data, discontinued features, or price increases not caused by our breach.

Intellectual Property Rights

Client Materials

The Client retains ownership of materials supplied by the Client and grants Simko Web a limited licence to use them only as needed to perform the agreed services.

Final Deliverables

Unless otherwise agreed, ownership of the final custom deliverables specifically created for the Client transfers after full payment of all related invoices. No ownership transfers while any relevant payment remains outstanding.

Pre-Existing and Reusable Materials

Simko Web retains ownership of its pre-existing methods, templates, processes, know-how, code libraries, reusable components, internal tools, proposals, and general skills. Third-party materials remain subject to their original licences.

Portfolio Use

Unless the Client requests confidentiality in writing before publication, Simko Web may identify the Client and display non-confidential completed work in its portfolio, case studies, proposals, and promotional channels.

Confidentiality

Each party agrees to use reasonable care to protect non-public business, technical, financial, account, and project information received from the other party and to use it only for the relevant business relationship.

Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed, received lawfully from another source, or required to be disclosed by law.

SEO, Advertising and Business Results

Digital performance depends on competition, budgets, market conditions, website quality, pricing, offers, platform algorithms, account history, customer behaviour, and many factors outside Simko Web’s control.

No guaranteed result: Simko Web does not guarantee a particular ranking, traffic level, lead volume, sales amount, cost per lead, return on advertising spend, account approval, indexing date, or uninterrupted platform availability unless a specific written guarantee is expressly included in a signed agreement.

Forecasts, estimates, competitor data, keyword volumes, projections, and case studies are informational and do not promise identical future results. Advertising spend is separate from service fees unless stated otherwise.

Cancellation and Refunds

Cancellation requests must be made in writing. Refund eligibility depends on the approved proposal, stage of work, resources already committed, third-party costs, and services already supplied.

  • Completed work, consumed service time, setup work, research, strategy, and approved deliverables are not refundable.
  • Domain, hosting, software, advertising spend, gateway charges, licences, stock assets, and other third-party costs are not refundable by Simko Web.
  • An advance may be non-refundable once work, booking of resources, research, setup, design, development, or campaign preparation has begun.
  • If a refundable balance remains after permitted deductions, it will be processed using a reasonable payment method and timeline.
  • Recurring services should be cancelled before the next billing cycle according to the notice period stated in the proposal.

Any project-specific cancellation or refund term stated in an approved quotation or agreement will take priority for that project.

Suspension and Termination

Simko Web may suspend or terminate services after notice where reasonably necessary because of overdue payment, unlawful activity, abusive conduct, security risk, repeated non-cooperation, platform violations, misuse of deliverables, or material breach of an agreement.

Either party may terminate an ongoing service according to the notice period stated in the relevant proposal. Termination does not remove the Client’s obligation to pay for work performed, approved costs, committed resources, or third-party expenses incurred before termination.

Warranties, Disclaimers and Liability

We will perform agreed services with reasonable care and professional skill. Except for express written commitments and rights that cannot legally be excluded, the website and services are provided on an “as available” basis.

To the maximum extent permitted by law, Simko Web will not be liable for indirect, incidental, special, punitive, or consequential loss, including loss of profit, revenue, goodwill, data, opportunity, rankings, or advertising performance.

Where liability cannot be excluded, Simko Web’s total aggregate liability relating to a particular claim will not exceed the fees actually paid to Simko Web for the specific service giving rise to that claim during the preceding three months, except where a different limit is required by law or expressly agreed in writing.

Client Indemnity

To the extent permitted by law, the Client agrees to protect and reimburse Simko Web against third-party claims, losses, penalties, or reasonable costs resulting from Client-supplied content, unlawful claims, intellectual property infringement, misuse of services, platform violations, or breach of these Terms.

Force Majeure

Neither party will be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, internet or power failure, cyberattack, labour disruption, platform outage, or failure of essential third-party services.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. The parties should first attempt to resolve any dispute through good-faith written discussion. Subject to applicable law, courts having jurisdiction in New Delhi, India will have jurisdiction over unresolved disputes.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. A failure to enforce a right immediately does not waive that right.

Changes to These Terms

We may update these Terms to reflect changes in our services, business practices, platform requirements, or legal obligations. The revised version will be published on this page with an updated date.

Changes will apply prospectively unless lawfully agreed otherwise. Continued use of the website after publication indicates acceptance of the updated website terms.
